Programme terms.
Version 1.4 · 8 October 2026. These Terms apply to every application and to participation in the Bio Swiss ambassador programme. The individual Ambassador Agreement you sign on approval prevails where the two differ.
Operated by BIO SWISS LTD, England & Wales, company no. 14544393. Shop purchases are governed by the shop Terms & Conditions; your data by the Privacy Policy.
01These Terms and who you are
These Ambassador Programme Terms (the “Terms”) govern applications to, and participation in, the Bio Swiss ambassador programme run by BIO SWISS LTD, a company registered in England and Wales (company no. 14544393) (“Bio Swiss”, “we”, “us”). “Bio Swiss” includes BIO-SWISS Sàrl (UID CHE-310.409.504, Val-d’Illiez, Switzerland), which may enforce these Terms.
By sending an application you confirm that you have read and agree to these Terms. If your application is approved, you will also sign an individual Ambassador Agreement. Only a document headed “Ambassador Agreement” and signed by both sides is the Ambassador Agreement; e-mails, chats and messages are not. The Agreement incorporates these Terms as amended from time to time and prevails only on the points it expressly negotiates.
You take part for the purposes of your trade, business or profession and not as a consumer. Consumer-protection laws, including the Consumer Rights Act 2015, do not apply to the programme. Your application must state your trading status (individual, registered self-employed trader or company) and any registration number.
If you take part through a company, the individual who publishes the content also signs the Ambassador Agreement and is responsible jointly with the company for “How you promote” and for any compensation due under “Liability”. You must name every person who will publish content under your code.
These Terms are separate from our shop Terms & Conditions, which govern purchases on bio-swiss.com. Nothing in the programme makes you an authorised stockist, distributor, agent or employee of Bio Swiss.
02Definitions
“Jar” means one retail unit; a pack counts as the number of jars it contains. “Retail price” means the price actually charged for a product on bio-swiss.com at the time of the order, after any site-wide promotion and before your audience discount. “Qualifying Order” means an order placed on bio-swiss.com with your code applied at checkout by a customer who is not you, a member of your household, your employee, business partner or anyone acting for you, that has been fully paid and shipped and whose Returns Period has ended without cancellation, return or chargeback. “Returns Period” means the returns period in the shop Terms when the order was placed. “Working day” means a day other than a Saturday, Sunday or bank holiday in England. “In writing” means an e-mail from info@bio-swiss.com or a message shown in your dashboard; chat-app messages and social-media messages do not count. “Partner” and “ambassador” both mean a person admitted to the programme.
03Applying
You must be at least 18 years old and able to enter into a binding agreement in your country of residence.
You apply through the form on our site. The information you give must be accurate and yours. We may ask you for more detail, examples of your work or a short call before we decide.
There is no self-registration. We review every application and decide, at our sole discretion, whether to invite you into the programme. We do not have to give reasons, and an application does not create any obligation on us.
Your account, personal code and dashboard access are created by Bio Swiss only after your Ambassador Agreement has been signed by both sides. Approval lapses if the Agreement is not signed within 30 days. If, exceptionally, a code is issued before signing, these Terms apply in full until signature.
Your account and code are personal to you. You may not sell, lend, share, syndicate or transfer them, pool audiences on one code, or apply or take part through another person or business without our written consent. False or incomplete information in an application or afterwards entitles us to end your participation without notice.
04Formats, tiers and your pool
The programme has two formats. Referral: you advertise Bio Swiss to your own audience with a personal code; every sale is a contract between the customer and Bio Swiss on bio-swiss.com, placed, paid, shipped and serviced by us. Wholesale: you buy at partner prices under our Trade Supply Terms and sell to end consumers through the channels named in your Ambassador Agreement.
Both formats sit on one ladder of three tiers, measured in jars per calendar month from Qualifying Orders plus any wholesale purchases: Tier 1 (Bronze) 1–50, Tier 2 (Silver) 51–100, Tier 3 (Gold) 101 and more. Everyone starts on Tier 1 unless we agree otherwise in writing.
Tiers are reviewed on the first day of each month on the previous month's jars, net of cancellations, returns and chargebacks, move one step at a time and never fall below Tier 1. The monthly review is calculated automatically from the order records (an automated decision that affects your commission rate); you can ask us to check any re-rating, and a person will review it. We may re-rate a tier at any time, and reclaim commission or discount, where orders later fail to qualify or were placed to inflate a tier. Bio Swiss may also set or hold a tier for a partner directly.
For referral ambassadors each tier gives a pool, expressed as a percentage of the Retail price: 10% on Tier 1, 20% on Tier 2, 30% on Tier 3. You decide, in steps of 5%, how the pool is split between your commission and the discount your audience receives with your code. The audience share is fixed in your code; the remainder is your commission. You may ask us to change the split; the change applies to orders placed from the date we update the code.
For wholesale partners each tier sets the discount off the retail price list: 30% on Tier 1, 40% on Tier 2, 45% on Tier 3. Wholesale purchases are made under your Ambassador Agreement and our Trade Supply Terms, not under consumer terms.
05Commission and payment (referral)
Commission is a fee for advertising. You do not solicit, negotiate or conclude sales for us, and the parties agree that the Commercial Agents (Council Directive) Regulations 1993 do not apply; if a court holds otherwise, any sum on termination is limited to an indemnity under regulation 17(3). You are not obliged to produce any content and we are not obliged to accept any; you choose when, how and whether to post, may use other people to create content, and may promote other brands.
Commission is earned only on Qualifying Orders, calculated on the Retail price of the products in the order before your audience discount, excluding shipping, taxes, duties and other charges. Orders in another currency are converted at our shop's exchange rate on the order date. Orders using a promotion that cannot be combined with your code earn no commission.
Attribution is by our shop records only: an order counts for you if your code was applied at checkout. No commission is due on orders without your code, whatever evidence you offer (screenshots, messages, customer statements), on orders lost to a customer's omission, a technical fault, downtime or a change of shop platform, and we do not re-attribute orders after the event.
Where an order is refunded in part, commission is reduced in proportion; where it is cancelled, refunded in full or charged back, no commission is due. Commission already paid on such orders, or on orders we reasonably believe were placed to abuse the programme, is repayable on demand and may be set off against any amount we owe you, during and after the programme. We will give the reason for a deduction on request.
Commission on an order becomes payable in the month in which the order became a Qualifying Order. We pay payable commission within 15 Working days after the end of that month, in pounds sterling, provided we hold your confirmed payment details and, if you are VAT-registered, a valid invoice or self-billing agreement. All commission figures are inclusive of any VAT or similar tax; if you are VAT-registered you must tell us, and we may operate self-billing.
Payment is made only to a bank account in your own name (or your company's) that you have given us in writing from the e-mail address on your account. A change of details takes effect after we have confirmed it with you by a call to the number on your account, and we may hold a payment until that is done. Payment to the details last confirmed discharges our obligation, including where details were changed by someone who had access to your e-mail. We may withhold payment where it would breach sanctions, anti-money-laundering or tax law, or for up to 90 days while we investigate suspected misuse.
The minimum payout is £50; a smaller balance rolls over and is paid in full within 30 days after your participation ends. If we cannot pay because you have not given valid details, we will remind you twice by e-mail; a balance still unclaimed 12 months after the second reminder is forfeited.
Your monthly statement is final unless you dispute it in writing within 30 days of it appearing in your dashboard, giving the order numbers and the reason. Our shop records are conclusive except for manifest error; you may request a statement for any period.
Your code cannot be combined with other discounts, promotions or codes unless we say so in writing. Products bought with your code, a personal discount, a wholesale discount, or received free may not be resold, except by wholesale partners through channels we have approved in writing.
06Wholesale partners
Wholesale supply is on our Trade Supply Terms, which we provide with your Ambassador Agreement and which form part of these Terms. Partners may sell only to end consumers in the United Kingdom through the channels named in their Ambassador Agreement — not on online marketplaces, not to other resellers and not for export — unless we agree otherwise in writing. We may audit resale channels on request.
Partners must store and present products as supplied, must not relabel, rebundle or alter them, must pass on allergen and usage information, handle their own customers' complaints and returns, co-operate with any recall and hold product-liability insurance of at least £1,000,000. Unsold stock is not returnable. All implied terms about the quality or fitness of wholesale stock are excluded so far as the law allows.
Partners set their own resale prices. £79 is a recommended retail price only; nothing in the programme fixes a minimum resale price.
07How you promote
Bio Swiss products are food supplements, not medicines. You must not state or imply that any product treats, cures, prevents, diagnoses or relieves any disease or condition, and you must not give individual medical advice.
Use only the product descriptions, ingredient and dosage wording published on bio-swiss.com or approved by us in writing. Do not invent properties, results or comparisons with named competitors, and do not describe effects you personally felt as a product benefit. You are responsible for the content you publish and for its compliance with the CAP Code, the retained Nutrition and Health Claims Regulation and the law of each country you target, even where it uses wording from our site or materials. Approval is given only by e-mail from info@bio-swiss.com; our use or repost of your content is not approval.
Promote the products only in countries we ship to (listed on bio-swiss.com). The CAP Code applies as a minimum to all your content, together with the advertising, food-claims and disclosure law of every country your content targets.
Every post, story, video or message in which you mention Bio Swiss while you are in the programme must be clearly identified as advertising at the start (for example “#ad” or the platform's paid-partnership label), whether or not it contains your code, as required by the UK Code of Non-broadcast Advertising (CAP Code) and consumer protection law.
Your code is personal: use it only in content you publish on the channels listed in your application or later approved by us. You must not share, sell or syndicate the code, pay or reward others to promote it, run paid advertising containing it, bid on “Bio Swiss” or our product names as search keywords, or post it on coupon, cashback, deal or discount sites, channels, groups or browser extensions. Each of these is misuse.
You must not run prize draws, giveaways, competitions, cashback, rebate or bundle offers involving Bio Swiss products without our written approval; must not post, solicit or reward reviews of our products on our shop, marketplaces or review sites; must not sell our products on any marketplace; and must not publish misleading price claims.
You are the independent controller of data about your own audience and must comply with UK GDPR and PECR in all your marketing. You must not send unsolicited electronic marketing about Bio Swiss products or the programme.
Do not publish anything unlawful, defamatory, discriminatory or misleading, and do not present yourself as an employee, agent or official channel of Bio Swiss. You may promote other products, but you must not present them as Bio Swiss, combine our code or materials with offers for other brands in a misleading way, or use our materials to promote anyone else.
If we, a platform or a regulator (for example the ASA, Trading Standards or the MHRA) object to a piece of your content, you will amend or remove it within 24 hours of our request and co-operate promptly with any enquiry. We may review your content at any time.
During the programme and after it, you will not make disparaging or false statements about Bio Swiss, its products or its people. Honest reviews of your own experience that comply with these Terms are not disparagement.
08Our products, prices and brand
Bio Swiss alone decides what it sells and how. We may at any time, without notice to you and without your consent, change retail prices, discounts and promotions, the range, formulas, packaging, labels, product names, the brand, logo, visual identity, website, shop platform, shipping countries and conditions, or withdraw any product, temporarily or permanently. We may run our own promotions, work with other ambassadors and partners, and sell through any channel we choose, without exclusivity to you.
Your commission or margin is calculated on the prices in force at the time each order is placed. A change of price, range or branding gives no right to compensation, to a different rate or to notice beyond what is set out in “Suspension, termination and changes”.
When we change wording, prices, labels or brand materials you must update or remove your existing content on request, and you must not keep using superseded prices, claims, images or logos.
You promote the brand; you do not own any part of it and acquire no rights in it through the programme.
09Brand, content and data
We grant you a limited, revocable, non-exclusive, non-transferable right to use the Bio Swiss name, logo and the materials we provide, solely to promote the products under the programme. All rights remain ours.
You must not register domain names, social-media handles, trade marks or business names containing “Bio Swiss” or anything confusingly similar, and you must not run pages that could be taken for official Bio Swiss channels.
You grant Bio Swiss (BIO SWISS LTD) and BIO-SWISS Sàrl (UID CHE-310.409.504) an irrevocable, perpetual, worldwide, royalty-free, sublicensable licence to use, edit, crop, subtitle, translate and combine the content you create about our products under the programme (photos, videos, text, reviews), including your name, image and voice as they appear in it, in any media including paid advertising, with credit where reasonable, and you waive any moral rights in it so far as the law allows. After your participation ends we will stop new paid use of content showing you within 30 days of your written request; existing organic posts may remain.
You warrant that your content is your own or properly licensed, that it infringes no one's rights (including music, images and other people), and that everyone shown in it has consented; you will compensate us for any claim that it does not.
Your dashboard shows only order numbers, dates, products and amounts; you must not try to identify customers, and you do not collect or pass to us personal data of customers. All orders are placed by customers themselves on bio-swiss.com.
You are responsible for the security of the e-mail account linked to your ambassador account. Sign-in links are personal and must not be forwarded. Tell us immediately at info@bio-swiss.com if you suspect that someone else has used your account or code; we may suspend the account while we check. Bio Swiss never asks for passwords or sign-in links.
Commercial terms, wholesale prices, costs, margins and any other non-public information you receive from us are confidential, during the programme and for three years after it ends.
10Your data (ambassador privacy notice)
BIO SWISS LTD is the controller of the data you give us as an applicant or ambassador (name, contact details, trading status, channel details, bank details, correspondence) and of the data generated in the programme (your code, orders attributed to it, commission and payments). We use it to assess your application, run the programme, pay you, comply with tax and legal duties and protect against fraud, on the basis of our contract with you and our legitimate interests in running the programme. We do not use it for marketing to you without your consent.
Our processors are our hosting provider (Vercel), our database provider (Supabase), our e-mail provider (Resend) and our shop platform (Shopify); some are outside the UK, and those transfers are protected as described in section 05 of our Privacy Policy (adequacy regulations, the UK Addendum to the EU standard contractual clauses, or the IDTA). We keep applications for 12 months after a decision and ambassador records for 6 years after participation ends, as tax law requires.
You have the rights to access, correct and, where applicable, delete or restrict your data, and to complain to the Information Commissioner's Office. Contact info@bio-swiss.com. Our general Privacy Policy applies in addition.
11Your status and taxes
You take part as an independent person or business. These Terms do not create employment, worker status, partnership, franchise, joint venture or agency. You may not bind Bio Swiss or negotiate on its behalf.
You are responsible for declaring and paying any tax, social contributions or registrations that apply to your commission or margin in your jurisdiction. If a tax authority treats any payment as subject to deductions we were required to make, you will reimburse us.
12Liability
We do not guarantee any level of sales, income or result from the programme. Figures and examples on our site are illustrations, not promises, and you confirm that you have not relied on any statement that is not set out in these Terms or your Ambassador Agreement (this does not limit liability for fraud).
Our total liability to you under the programme in any 12-month period is limited to the greater of £500 and the commission or wholesale discount you received in the previous 12 months. We are not liable for loss of profit, revenue, goodwill or data, for indirect or consequential loss, for a suspension made in good faith, or for orders not attributed to your code for the reasons set out in “Commission and payment”. Nothing in these Terms limits liability that cannot be limited by law.
You will compensate us for all losses, costs (including reasonable legal costs), regulatory penalties to the extent the law allows, and claims arising from your breach of these Terms or your Ambassador Agreement, your content, your resale of products or your breach of any law. You will co-operate promptly with any investigation by a regulator or platform about your content. Each part of this clause is separate.
13Suspension, termination and changes
We may end your participation immediately if you breach these Terms or your Ambassador Agreement, act in a way we reasonably consider damages our reputation (whether or not connected with Bio Swiss), give us false information, become insolvent, are inactive for six months, or if your Ambassador Agreement ends. We may suspend your code and account while we investigate suspected misuse; commission on orders during a suspension is not payable if misuse is confirmed.
If your code appears on a coupon, cashback or deal site, channel or extension, we may suspend it while we investigate and you must help remove it; we end participation where you caused or permitted the listing or fail to co-operate.
Either side may end participation at any time with 30 days' written notice, without giving reasons. On ending, your code is deactivated and your right to use our brand materials stops. Commission on Qualifying Orders placed before the end date is paid as usual; where a subscription or repeat-order scheme exists, only the first order counts, not later renewals. No other compensation is due.
Within 7 days of the end you must remove your code and any reference to being a Bio Swiss ambassador from bios, link pages, highlights and pinned posts, remove or update content that shows superseded prices or claims, and stop using our name and materials other than to say truthfully that you worked with us in the past; earlier posts may remain if accurate and labelled. Wholesale partners may sell remaining stock for 60 days through approved channels only; after that we may buy it back at the price paid or require its return.
We may pause or close the programme, in whole or for a country or format, at any time with 30 days' notice. Commission earned up to the closure date is paid as usual.
We may change retail prices, the product range and promotions at any time. We may change tiers, pools, wholesale discounts, payment arrangements or these Terms on 30 days' notice by e-mail or in your dashboard; a change applies to orders placed on or after its effective date and does not affect commission already earned. If you do not accept a change, you may end your participation before it takes effect.
“Commission and payment”, “Brand, content and data”, “Your status and taxes”, “Liability”, the non-disparagement and confidentiality obligations and this section survive the end of your participation. Each application records the version of these Terms accepted and the time of acceptance.
14General
These Terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
These Terms, your application, your Ambassador Agreement and the documents they refer to are the entire agreement between us about the programme and replace any earlier discussions, messages or materials. Nobody else has rights under them (Contracts (Rights of Third Parties) Act 1999), except BIO-SWISS Sàrl, which may enforce them. You may not assign or transfer your participation, code or right to payment; we may assign or transfer ours to a company in our group or a buyer of the business.
Notices to you are given by e-mail to the address on your account and count as received the next Working day; notices to us go to info@bio-swiss.com. Neither side is liable for failure caused by events outside its reasonable control (for example platform outages, supplier failure, strikes, pandemic, war), except for payments due.
If any part of these Terms is found invalid, the rest continues to apply. Our failure to enforce a right is not a waiver of it. These Terms are written in English; any translation is for convenience only and the English text prevails.
